The concept of outsourcing technology is not new. Outsourcing of technology infrastructure, systems and services is a strategic decision taken by many organisations, enabling an organisation to focus on its core business.

Many different approaches are taken, from externalising provision of IT helpdesks through to wholesale off-shoring, near shoring or other outsourcing of data centres, networks or other core technology functions. In addition, outsourcing of IT to cloud solutions is fast becoming a more mainstream option for businesses.

Cost and efficiency savings remain a significant driver for any outsourcing arrangement, but outsourcing has also become a powerful mechanism for driving business change, innovation, flexibility and procuring best in class service for businesses whether for their own business or for delivering services to their customers. As a result, the models have become more complex and the legal and risk factors more complicated.

In 2012, we commissioned a study into adoption of cloud technologies with PA Consulting Group. Our findings were that many companies perceived technical, commercial and legal (including contractual) barriers to entering into cloud deals. The perceived barriers are still there. Eversheds Sutherland's role on cloud deals is to help ensure the contract put in place holds no strong legal barriers to adopting the technology solution and that the business understands the legal risks involved.

The Eversheds Sutherland team has advised on some of the most significant sourcing transactions in the market in recent years, including:

  • Advising Honda Motor Europe across EMEA, on the first generation outsourcing of its data centre facility, Application hosting, Application Maintenance, and Application Support and Development and other IT services to IBM from pre-BAFO through to contract signature, including in relation to all contractual, privacy, HR and pensions aspects.
  • Advising Anglo American on its US $150 million multi-year global agreement with Accenture plc to provide application development and maintenance services.
  • Acting for a leading global networking supplier in relation to the supply of IT goods and outsourcing services to one of its top 10 global customers, worth $180 million a year over 5 years and in over 50 countries.
