Eversheds Sutherland advises Welbilt on $224m acquisition of Crem International

Eversheds Sutherland has advised Welbilt, Inc. (NYSE:WBT), a leading global provider of commercial food service, on its $224m (around €182m) acquisition of Crem International, a global provider of professional coffee machines.
The takeover, which is expected to complete in the second quarter of 2018, will give Welbilt the most extensive portfolio of hot and cold beverage equipment in the international market.
The multi-jurisdictional Eversheds Sutherland team, led by M&A Partner Jonas Bratt (Stockholm) and Client Relationship Partner Dr Stefan Diemer (Munich), advised Welbilt on all aspects of the complex transaction. The team comprised legal advisers from Sweden, Germany, the Netherlands, the UK, Spain and China and included: M&A Partners Gabriel Albemark (Stockholm), Sven Schweneke (Munich), Tom van Wijngaarden (Amsterdam), Carlos Pemán Cubillo (Madrid), Jack Cai (Shanghai) and James Trevis (London).
Headquartered in Tampa Bay, Florida, Welbilt is one of the world’s largest manufacturers and suppliers of professional catering technology, with 17 production sites in Europe, the United States and Asia.
Crem International is a global leading manufacturer of professional coffee machines with more than 50 years of experience in the market and sales in more than 80 countries.
The acquisition will enable Welbilt to expand its hot beverage product portfolio to include the rapidly growing coffee category and gain access to strategic growth markets through Crem’s strong presence in Europe and Asia. Both companies also create synergies in the development, manufacture and marketing of their strong complementary brand and product family.
