Media banking

Our media and banking teams offer a unique combination of media and entertainment and City banking experience. We regularly advise on the securitisation and leveraged acquisition of media related assets, including recording and music publishing income streams, music publishing catalogues, sounds recordings, publishing titles, and feature films.

Our experience includes investigating title to the underlying media assets, advising on the nature of the security, advising on the corporate and tax structure, and negotiating the banking and finance documents. We have advised on some of the biggest and high profile multi-jurisdictional deals in this area, including Spirit Music's recent acquisition of Pete Townshend's music publishing catalogue. Our global experience enables us to provide clients with an integrated service throughout the world.

Media banking legal experience

  • Advising Spirit Music Group, a US music publishing company, on its acquisition of Pete Townshend's (The Who) music publishing catalogue.
  • Advising HSBC on IP/ownership issues on a loan to a music publisher secured against worldwide publishing rights of a leading reggae artist and UK publishing rights of a leading rock band.
  • Advising on IP/ownership issues and drafting and negotiating a share purchase agreement for the acquisition by Stage Three Music of the company which owned and controlled Gerry Rafferty's publishing rights.
  • Advising on IP/ownership issues for Royal Bank of Scotland on a loan to a music publisher secured against publishing rights to an extensive music publishing catalogue.
  • Advising The Beatles in relation to their joint venture with Cirque du Soleil concerning the hugely successful "LOVE" show in Las Vegas.
