Paul is a Partner and Head of Real Estate Taxation in our Tax group. a real estate tax and structured finance specialist and advises on the establishment, merger, restructuring, financing and winding-up of all forms of real estate funds, holding structures and joint ventures. Paul also advises on taxation of stand-alone securitisations, including RMBS transactions as well as the bespoke structuring on the interaction of securitisation finance techniques and real estate holding structures. Paul has also been involved in advising local authorities and related entities on large scale development projects and tax and financing efficient holding structures.

Paul regularly advises on the VAT, SDLT and direct tax issues involved in direct real estate transactions, including development projects, acquisitions, forward fundings, contractual and proprietary joint ventures across the broad real estate assets classes, as well as niche assets including student accommodation, residential conversions and build to rent. Paul is a member of both the Law Society Revenue Committee and the Stamp Taxes Practitioners Group, and has been recognised by the Legal 500 for both corporate tax advice (2017, 2016) and social housing finance (2014).

Paul’s recent experience includes :-

  • Advising a large institution and Canadian pension fund on the acquisition, holding and redevelopment structuring of a landmark 1m sq. ft. office redevelopment in central London.
  • Advising a London borough on multiple large scale redevelopments and specifically on structuring indirect real estate holdings to deliver flexibility and funding options – total value in excess of £200m.
  • Advising a local government pension scheme on the structure and issues involved in merging two real estate funds with combined AUM of c. £800m, including advising on the recent changes in law affecting offshore collective investment schemes investing in UK commercial property.
  • Advising a Global financial institution on the development and deployment of an innovative platform based RMBS warehouse and term-out securitisation structure, facilitating use by multiple institutional investors, with over £1bn assets to date.
