Jennifer is a Senior Associate in our Construction, Energy and Projects Group

She has advised on a broad range of energy and projects matters, advising private sector clients, public sector clients and project financers including on PPPs and windfarm projects.

Jennifer has acted for and negotiated on behalf of clients across Europe on a range of issues; from providing regulatory advice, negotiating and drafting I-SEM changes to power purchase agreements and related contracts and conducting due diligence on windfarm sales. Jennifer was the lead legal advisor to and negotiator for the corporate (confidential) on one of Ireland’s first corporate power purchase agreements.

In these various roles in Ireland and the UK, Jennifer has advised on energy markets (including I-SEM), gas safety, water meter rollout, windfarm projects, boiler replacement, the EU Technical Standards Directive, the EU Emissions Trading Scheme (ETS) (including drafting legislation), energy standards in the private rented sector, UK Green Deal Finance, energy consumption reporting obligations and energy efficiency incentive schemes. In the context of Brexit, Jennifer led the UK drafting on the carbon reduction aspects of the SEM Annex within the EU Withdrawal Agreement’s Protocol on Ireland/Northern Ireland), drafted “no deal” legislation to ensure the EU ETS compliance deadlines continued to work for business given the potential for the UK leaving the EU without a deal, and led on the Withdrawal Agreement Bill review.

Jennifer’s experience includes:

• Advising a large domestic bank on one of the first RESS Power Purchase Agreements relating to a wind farm extension in Co. Clare.

• Advising a large pharma multinational company on a Corporate Power Purchase Agreement (PPA).

• Advising a large domestic bank on the financing of 8 solar farm projects in Co. Cork to be developed by the Amarenco Group.

• Advising and drafting the necessary amendments to the existing PPAs for a wind turbine manufacturer. This includes negotiation of CfDs and the obtaining of bank consent for the restructured off-take arrangements.

• Advising a Solar energy equipment supplier in relation to the regulatory aspects of developing biomethane plants in Ireland and the injection and shipping of the biomethane directly to corporate end users.

• Researching, analysing and drafting extensive energy chapters for cross-functional due diligence reports (DDR) for an energy joint venture group.

• Advising the funder on a 4MW wind farm financing of a 4MW wind farm in Ireland. Drafting, negotiating and amending project finance documents, and project managing signing and financial close.
